These Terms of Service (“Terms”) govern your access to and use of the Seezonee platform, the website at www.seezonee.com, and any related services (together, the “Service”). The Service is provided by 17893833 Canada Inc., a federal Canadian corporation operating under the name Seezonee (“Seezonee”, “we”, “us”, “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Seezonee is a communication platform that enables seasonal businesses to message their own staff over WhatsApp and (in a future stage) SMS — for onboarding, operational broadcasts, scheduled check-ins, and one-to-one conversations. Seezonee acts as a Technology Provider under Meta’s WhatsApp Business Platform and routes messages through Twilio under Meta’s Multi-Partner Solution. Seezonee sends messages on your behalf; it does not message your staff on its own account.
The Service is for business use by authorized representatives of a seasonal business (“business manager”). You must provide accurate account and business-registration information and keep it current. You are responsible for activity under your account and for keeping your sign-in credentials secure. Notify us promptly of any unauthorized use.
As the business using Seezonee, you are the controller of your staff’s personal information, and you agree that:
You may not use the Service to: send unlawful, harassing, deceptive, or harmful content; impersonate others; infringe intellectual-property or privacy rights; transmit malware; attempt to gain unauthorized access to the Service or its data; or circumvent rate limits, security controls, or the minor-messaging block. We may suspend or remove content or accounts that violate these Terms or Meta’s policies.
Your use of WhatsApp through Seezonee is additionally subject to Meta’s and WhatsApp’s terms and policies. Message templates require Meta’s pre-approval; messages sent outside WhatsApp’s 24-hour session window use only Meta-approved utility templates; and STOP/opt-out requests are honoured immediately and indefinitely. The Service also relies on third-party providers (including Meta, Twilio, Supabase, and Vercel), whose terms apply to their respective services.
Inbound WhatsApp media (images, videos, audio, documents, locations, contacts) sent through Seezonee is governed by the restricted-use commitment in our Privacy Policy — including that media content is used only to display conversations to authorized business managers, and is not used for AI / machine-learning training, advertising or analytics outside the displayed conversation, or third-party sharing beyond legal obligations and Seezonee’s Technology Provider obligations to Meta.
Our handling of personal information is described in our Privacy Policy, which forms part of these Terms. Requests to delete data are handled as described on our Data Deletion page.
Where the Service is offered on a paid basis, fees are billed by Seezonee to your business (currently via Stripe). You will never be asked to add a payment method to Meta; all messaging charges are routed through Twilio’s credit line under Meta’s Multi-Partner Solution. During any free pilot period, no fees apply, and we will give notice before paid billing begins.
Seezonee and its licensors own all rights in the Service, including its software, design, and trademarks. You retain all rights in the data and content your business provides. You grant Seezonee a limited licence to host and process that data solely to provide the Service.
The Service is currently offered as a private pilot for invited operators and is provided “as is” and “as available,” without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure.
To the maximum extent permitted by law, Seezonee will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amounts you paid to Seezonee in the three months preceding the claim (or, during a free pilot, CAD $100).
You agree to indemnify and hold Seezonee harmless from claims arising out of your use of the Service, your content, or your breach of these Terms or of applicable law — including any claim that you messaged a person without valid consent.
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or Meta’s policies, or if required to protect the Service or comply with law. On termination, we revoke connected WhatsApp Business Account credentials within 30 days, and our Data Deletion and retention practices apply.
We may update these Terms as the Service evolves. For material changes we will provide notice in-product or by email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts of Ontario have exclusive jurisdiction over any dispute, subject to any non-waivable rights you have under applicable law.
